This platform is a booking and communication platform. If you feel that you or any other person may be in any danger or if you have any medical emergency please notify the relevant authorities and seek immediate in-person medical assistance.
When you use this platform (the "Platform") you will be bound by these Terms of Use ("Terms"). Please read them carefully in order to clearly understand what you agreeing to when you access and use the Platform offered by Suwadivi in connection with the online mental health services accessible via the Platform (the "Service(s)") (the Platform and the Services are hereinafter collectively, "Suwadivi"), and any information, text, graphics, photos or other materials uploaded, downloaded or appearing on Suwadivi (collectively referred to as "Content"). If you do not agree to all of these terms and conditions, you are not authorized to use Suwadivi. The terms "you", "your," and "yourself" refer to the individual user of the Service.
To access the Services, you must first register to establish a user account ("Account"). You agree that you will not create more than one Account or create an Account for anyone other than yourself without first receiving permission from the other person.
When creating your Account you agree:
We reserve, at our sole discretion, the right to suspend an Account if we are of the opinion that the Account is being accessed by an unauthorised party.
Once you have created an Account you can then use the Service to book appointments and communicate with counsellors and therapy providers (the "Providers") who will provide you with mental health services directly. You understand that Suwadivi only provides the platform through which to connect to Providers and our role is limited to providing services in relation to scheduling appointments and facilitating consultations, through chat features, video calls, with Providers. Your dealings and interactions with the Provider are a relationship and arrangement independent of Suwadivi and Suwadivi has no control over or liability in respect of those dealings and interactions. Providers are independent providers who are neither our employees nor agents nor representatives. Providers themselves are responsible for the performance of the mental health services they offer you. If you feel the services provided by the Provider do not fit your needs or expectations, you may change to a different Provider who provides services through Suwadivi or elsewhere. If a Provider you have connected with stops using Suwadivi at any time after you have been connected, we will send an email to notify you that your Provider is no longer on the Platform and that you have the opportunity to connect with a new Provider.
While we hope the mental health services offered by the Provider are beneficial to you, you understand, agree and acknowledge that they may not be the appropriate solution for your needs and that they may not be appropriate for every particular situation and/or may not be a complete substitute for a face-to-face examination and/or care in every particular situation.
You agree not to access or use the Services in an unlawful way or for an unlawful or illegitimate purpose or in any manner that contravenes these Terms. You shall not post, use, store or transmit any of the following:
You shall not attempt to disrupt the operation of the Service by any method, including through use of viruses, Trojan horses, worms, time bombs, keystroke logger, spyware, adware, denial of service attacks, flooding, or spamming. You shall not use the Service in any manner that could damage, disable, or impair the Service. You shall not attempt to gain unauthorized access to any user accounts or computer systems or networks, through hacking, password mining or any other means. You shall not use any robot, scraper, malicious code, or other means to access the Service for any purpose. Neither Suwadivi nor its affiliates are under any obligation to respond to messages posted on the Service. You are solely responsible for the information or material you post on the Service.
You will not use Suwadivi at a frequency that would be deemed to be unreasonable and/or higher than a frequency that would be reasonably required to receive relevant mental health services. What would be a reasonable level in this regard would be determined at our sole discretion and would be based on the advice of a Provider consulted by us.
You shall be solely responsible for ensuring compliance with the various applicable laws, and you shall be solely liable for any liability that may arise due to a breach of your obligations in this regard.
You agree to receive video and audio information from Providers, including for the purposes of conducting consultations.
You agree to receive communications, including text messages, push notifications, calls and emails, from Suwadivi, Providers, and third parties in relation to the Service, mental health and wellness.
You can either book and pay for a single appointment or choose one of the subscription plans we offer ("Subscription") for booking and payment. Your use of and access to Suwadivi is subject to your purchase in relation to a single appointment or a Subscription either yourself on your behalf by an employer, organization, parent or guardian.
You agree to pay all fees and charges associated with your Account on a timely basis in accordance with the fee schedule, and the terms and rates published by Suwadivi from time to time.
We may use a third-party payment processor ("Payment Processor") to bill you through your selected mode of payment. The processing of payments will be subject to the terms and policies of such Payment Processors in addition to these Terms. We shall not be liable for any error by the Payment Processor. In the event of any unsuccessful payments, the money so debited shall be credited in accordance with the terms of the Payment Processor.
We reserve the right to revise our fees from time to time. We shall provide you with reasonable advance notice of any changes to our fees. Should you not agree to the fees, you have the right to cancel your Subscription, provided that all outstanding amounts due to us are paid immediately.
You are always advised to exercise a high level of care and caution when making any mental health or medical decision. You should never disregard, avoid, or delay obtaining medical advice from your primary doctor or other qualified healthcare provider, or using or combining Suwadivi with traditional face-to-face appointments, solely because of information you saw on the Platform or advice you received through the Provider. If you feel that the Provider does not meet your expectations, you may change to a different Provider at any time.
Suwadivi aims to facilitate better mental well-being but is not intended for the provision of clinical diagnosis. Clinical diagnosis often requires in-person evaluation and you will need to consult with your doctor on this. If you are considering harming yourself or others or if you feel that any other person may be in any danger or if you have any medical emergency, you must immediately seek help. The platform is not designed for use in any of the aforementioned cases and the therapists cannot provide the assistance required in any of the aforementioned cases.
Providers may from time to time need to cancel an appointment in which case you will be allowed to reschedule an appointment at another time and/or date with the Provider.
You can request rescheduling your appointment 24hrs prior to the time and date of the appointment and any rescheduling requests that do not adhere to the above-mentioned time-period (24hrs prior) will not be allowed.
Other than the guidance and advice you receive directly from your Provider, the graphics, educational and research sources, and other incidental information on the Platform or the Content, should not be considered medical advice. You should always talk to an appropriately qualified healthcare professional for diagnosis and treatment, including information regarding which medications or treatments may be appropriate for you. None of the Content represents or warrants that any particular medication or treatment is safe, appropriate, or effective for you. Suwadivi does not endorse any specific tests, medications, products, or procedures.
All Content available on or through the Service is the property of Suwadivi or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property law. You agree not to reproduce, modify, retransmit, distribute, disseminate, sell, exploit, publish, broadcast, or circulate the content received through the Service to any third party. Any copy made of information obtained through the Service must include all applicable copyright notices.
You may not modify, translate, reverse engineer, disassemble, decompile, or create derivative works of the Service or allow a third party, whether directly or indirectly (including, but not limited to the direct or indirect use of wizards, agents, bots, or other utilities), to modify, translate, reverse engineer, disassemble, decompile, or create derivative works of the Service; or transfer, distribute, sell, lease, rent, disclose, or provide access to the Service to any third party or use the Service.
ACCESS TO THE SERVICE AND THE INFORMATION CONTAINED THEREIN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
WITHOUT LIMITING THE FOREGOING, SUWADIVI DOES NOT WARRANT THAT ACCESS TO THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS, IF ANY, WILL BE CORRECTED. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE AND YOUR RELIANCE UPON ANY OF ITS CONTENTS IS AT YOUR SOLE RISK.
YOU AGREE THAT YOU ARE RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR PASSWORD AND ANY OTHER SECURITY INFORMATION RELATED TO YOUR USE OF SUWADIVI. YOU AGREE TO NOTIFY SUWADIVI IMMEDIATELY OF ANY UNAUTHORIZED USE OF YOUR USERNAME OR PASSWORD.
YOU SHALL BE SOLELY AND FULLY RESPONSIBLE FOR ANY DAMAGE TO THE SERVICE OR ANY COMPUTER SYSTEM, ANY LOSS OF DATA, OR ANY IMPROPER USE OR DISCLOSURE OF INFORMATION ON THE SERVICE CAUSED BY YOU OR ANY PERSON USING YOUR USERNAME OR PASSWORD. SUWADIVI CANNOT AND DOES NOT ASSUME ANY RESPONSIBILITY FOR ANY LOSS, DAMAGES, OR LIABILITIES ARISING FROM THE FAILURE OF ANY TELECOMMUNICATIONS INFRASTRUCTURE, OR THE INTERNET, OR FOR YOUR MISUSE OF ANY PROTECTED HEALTH INFORMATION, ADVICE, IDEAS, INFORMATION, INSTRUCTIONS, OR GUIDELINES ACCESSED THROUGH THE SERVICE
IN THE EVENT OF ANY PROBLEM WITH THE SERVICE OR ANY OF ITS CONTENT OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, APP, OR SERVICES OR OTHERWISE ARISING OUT OF, OR IN RELATION TO, THESE TERMS, YOU AGREE THAT SUWADIVI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL AND ANY DAMAGES, LOSSES, OR CAUSES OF ACTION (WHETHER CONTRACTUAL, TORTIOUS, OR OTHERWISE) SHALL BE LIMITED TO THE AMOUNT OF PAYMENT MADE BY YOU TO SUWADIVI IN THE PAST 12 MONTHS, UNLESS OTHERWISE REQUIRED BY APPLICABLE LAW.
UNDER NO CIRCUMSTANCES SHALL SUWADIVI, ANY SUWADIVI LICENSOR OR SUPPLIER, OR ANY THIRD PARTY WHO PROMOTES THE SERVICE OR PROVIDES YOU WITH A LINK TO THE SERVICE BE LIABLE IN ANY WAY FOR YOUR USE OF THE SERVICE OR ANY OF ITS CONTENT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, ANY INFRINGEMENT BY ANY CONTENT OF THE INTELLECTUAL PROPERTY RIGHTS OR OTHER RIGHTS OF THIRD PARTIES, OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT.
YOU AGREE THAT YOUR ENGAGEMENT WITH PROVIDERS IS AT YOUR SOLE RISK. SUWADIVI IS AN ONLINE INTERMEDIARY THAT PROVIDES A PLATFORM TO CONNECT YOU TO PROVIDERS. WE DO NOT BEAR ANY RESPONSIBILITY FOR ANY ADVICE PROVIDED OR FAILED TO BE PROVIDED BY PROVIDERS AND DISCLAIM ALL WARRANTIES IN RELATION TO SERVICES PROVIDED BY PROVIDERS ON THE PLATFORM. YOUR USE OF THE SERVICES OFFERED BY PROVIDERS THROUGH THE PLATFORM DOES NOT CONSTITUTE A RELATIONSHIP BETWEEN SUWADIVI AND YOU.
SUWADIVI IS NOT AND WILL NOT BE RESPONSIBLE FOR ANY CLAIM OR FOR ANY DAMAGES SUFFERED THAT ARE RELATED, DIRECTLY OR INDIRECTLY, TO THE PROVISION OF SERVICES BY PROVIDERS, INCLUDING BUT NOT LIMITED TO THE VIOLATION OF APPLICABLE ETHICS AND LAWS, THE VIOLATION OF STANDARDS OF CARE AND THE DUTY OF CARE, THE PROVISION OF FALSE OR NEGLIGENT ADVICE OR INFORMATION, VIOLATION OF THIRD PARTY RIGHTS, OR ANY ABUSE, THREATS, OR OFFENSIVE BEHAVIOUR.
WE ARE NOT LIABLE FOR ANY ACTS, OMISSIONS, OR ANY FORM OF ADVICE PROVIDED BY ANY PROVIDER THROUGH OR ON SUWADIVI. YOU UNDERSTAND THAT THE PROVIDERS ARE NOT AGENTS OR EMPLOYEES OF SUWADIVI; THEY ARE INDEPENDENT CONTRACTORS THAT PROVIDE SERVICES INDEPENDENTLY OF SUWADIVI.
Any link (including a hyperlink, button, or referral device of any kind) used in the Service is provided for your use and convenience. The appearance of a link does not constitute an endorsement, recommendation, or certification by Suwadivi, nor should the presence of a link in any way be construed as a suggestion that any third-party website has any relationship to Suwadivi. Suwadivi does not endorse the content on any third-party websites. Suwadivi is not responsible for the content of linked third-party websites or third-party advertisements and does not make any representations regarding its content or accuracy. Suwadivi does not knowingly link to websites that may infringe on valid and existing trademarks, service marks, copyrights, or patents. Your use of third-party websites is at your own risk and subject to the terms and conditions of use for such websites.
Our treatment of any personal information about you which we collect and store on Suwadivi shall be in accordance with our Privacy Policy and applicable law. You hereby consent to our use of your personal information in this manner.
Suwadivi has the right (but not the obligation) to refuse to provide access to the Service to any person, agency, or organization for any illegal or improper use of the service, non-payment or other material misuse of the services. Suwadivi reserves the right to change, suspend, or discontinue all or part of the Service, temporarily or permanently, without prior notice.
Suwadivi's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
Notices required to be given to you by Suwadivi may be delivered by electronic mail to the address provided during the creation of your Account.
These Terms constitute the entire agreement between Suwadivi and yourself regarding the Service and supersede and replace any prior agreements you and Suwadivi might have regarding the Service.
Suwadivi may revise these Terms from time to time without notice to you, except for material changes. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. We encourage you to read the Terms periodically.
Any translated version of these Terms is provided solely for your convenience. To the extent any translated version of these Terms conflicts with this English version, this English version shall prevail.
